Please read these Terms of Service ("Terms") carefully before using the ShowroomDesk platform ("Service") operated by HCK Technologies, Inc ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using ShowroomDesk, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration

To use ShowroomDesk, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that all users you invite to your organization comply with these Terms

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

3. Subscription and Billing

ShowroomDesk is offered as a subscription-based service. By subscribing, you agree to the following:

  • Free Trial: New accounts may be eligible for a free trial period. At the end of the trial, your account will require an active subscription to continue using the Service.
  • Billing Cycle: Subscriptions are billed on a recurring monthly basis. You will be charged at the beginning of each billing cycle.
  • Payment Method: You must provide a valid payment method. Payments are processed securely through our third-party payment processor, Stripe.
  • Price Changes: We may change our subscription fees with at least 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.
  • Refunds: Subscription fees are non-refundable except where required by law or as expressly stated in our refund policy. We offer a full refund within the first 30 days of your initial subscription.
  • Taxes: You are responsible for any applicable taxes associated with your subscription.

4. User Responsibilities

When using ShowroomDesk, you agree to:

  • Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
  • Not attempt to gain unauthorized access to any part of the Service or its related systems
  • Not interfere with or disrupt the integrity or performance of the Service
  • Not use the Service to transmit any malware, viruses, or harmful code
  • Not reverse engineer, decompile, or disassemble any part of the Service
  • Not use automated systems (bots, scrapers, etc.) to access the Service without our express written permission
  • Not resell, sublicense, or redistribute access to the Service

5. Your Data

You retain all rights to the data you enter into ShowroomDesk ("Your Data"). By using the Service, you grant us a limited license to host, store, and process Your Data solely for the purpose of providing the Service to you.

You are responsible for the accuracy and legality of Your Data. We do not claim ownership of Your Data and will not use it for any purpose other than providing and improving the Service.

You may export Your Data at any time during your active subscription. Upon termination of your account, we will retain Your Data for a reasonable period to allow for reactivation, after which it will be permanently deleted.

6. Intellectual Property

The Service, including its design, code, features, documentation, trademarks, and all related intellectual property, is owned by HCK Technologies, Inc and is protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right to use the ShowroomDesk name, logo, or branding without our prior written consent. All rights not expressly granted herein are reserved.

7. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable advance notice
  • Modify, update, or enhance features of the Service
  • Temporarily suspend the Service for emergency maintenance or security reasons

We will make reasonable efforts to notify you of any material changes to the Service that may affect your use.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HCK TECHNOLOGIES, INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify, defend, and hold harmless HCK Technologies, Inc and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to the Service through the end of your current billing period
  • No further charges will be made to your payment method
  • Your Data will be retained for 90 days, after which it will be permanently deleted

We may suspend or terminate your access to the Service immediately, without prior notice, if you:

  • Violate these Terms
  • Fail to pay subscription fees when due
  • Engage in activity that may harm the Service or other users

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in New York, New York.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
